Acceptance of Terms

By creating an account and using Covendor, you agree to these Terms of Service. If you do not agree, do not use the platform.

Description of Service

Covendor provides a business management platform for WhatsApp-native sellers and freelancers in Nigeria and across Africa. The platform includes product catalog management, order management, invoicing, an AI-powered WhatsApp sales bot, and payment processing infrastructure.

Account Responsibilities

• You must provide accurate information when creating your account
• You are responsible for maintaining the security of your account
• You must not use the platform for illegal activities
• You must not sell prohibited items including but not limited to: weapons, illegal substances, counterfeit goods, or adult content
• You are responsible for all activity that occurs under your account

WhatsApp Usage

When you connect your WhatsApp Business number to our platform, you confirm that you own or have authorisation to use that number. You agree to use the WhatsApp bot feature in compliance with Meta's WhatsApp Business Policy. You must not use the bot to send spam, unsolicited messages, or content that violates Meta's policies. Violation of Meta's policies may result in your WhatsApp number being restricted by Meta — we are not liable for such restrictions.

Payments and Fees

Our transaction fee is 1.5% + ₦200 per successful order, capped at ₦3,000. Withdrawals to your bank account cost ₦100 per transfer. Monthly subscription fees (Growth: ₦5,000/month, Scale: ₦15,000/month) are billed in advance and are non-refundable except where required by law. Transaction fees are deducted automatically from each order before funds are credited to your wallet. We reserve the right to update our fees with 30 days notice.

Intellectual Property

The platform, including its design, code, and content, is owned by us. You retain ownership of your product listings, business data, and customer relationships. By using the platform, you grant us a limited licence to process and display your content solely to provide the service.

Limitation of Liability

We are not liable for: losses arising from payment gateway failures or delays; losses arising from WhatsApp or Meta platform outages or policy changes; indirect or consequential losses. Our total liability to you shall not exceed the fees you paid us in the three months preceding the claim.

Termination

You may delete your account at any time from your dashboard settings. We may suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria.
